1. About These Terms
These Terms and Conditions, called the “Terms”, govern your access to and use of gotocalls.com, including all content, features, forms, booking tools, communications, and services offered through the Site.
The Site is operated by GoToCalls Executive Services, a sole proprietorship operating in Ontario, Canada, owned by Monica Matamoros Mota, with a principal business address at 45-4580 Keele St, Concord, Ontario L4K 2K2, Canada. In these Terms, “GoToCalls,” “we,” “us,” and “our” refer to GoToCalls.
By accessing the Site, browsing pages, completing a form, booking a call, subscribing to emails, downloading materials, or otherwise interacting with the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
These Terms apply to every visitor, prospect, subscriber, applicant, and inquiring party. They are different from, and do not replace, the Master Service Agreement that governs paying clients.
2. Acceptance, Eligibility, and Authority
You may use the Site only if all of the following are true:
- You are at least 18 years old, or the age of majority in your jurisdiction, whichever is higher.
- You can form a legally binding contract under applicable law.
- You are not barred from using the Site under the laws of Canada, your country of residence, or any other applicable jurisdiction.
- You are not a direct competitor accessing the Site for the purpose of building, training, or improving a competing Executive Assistant, virtual assistant, AI Architect, staffing, or support service.
If you are using the Site on behalf of a business, company, organization, or other person, you confirm that you have authority to bind that entity to these Terms, and “you” refers to both you personally and that entity.
3. Relationship to the Master Service Agreement
These Terms govern your use of the Site. They do not govern paid GoToCalls services.
When you engage GoToCalls for Executive Assistant work, AI Architect work, appointment setting, social media management, or any other paid service, that engagement is governed by the GoToCalls Master Service Agreement, called the “MSA,” signed between you and GoToCalls.
The MSA includes the six-month minimum term, monthly payment structure, AI tool permissions, confidentiality obligations, intellectual property terms, limitation of liability, and dispute resolution terms that apply to the paid relationship.
If any conflict arises between these Terms and the MSA in respect of paid services, the MSA controls. If you have not signed an MSA, your interaction with GoToCalls is limited to use of the Site under these Terms.
4. Account and Form Submissions
The Site may allow you to submit contact forms or service inquiry forms, book consultations, subscribe to email lists, download resources, or comment on content where enabled.
When you submit information through any of these channels, you confirm that:
- The information is accurate, current, and complete.
- You are submitting it on your own behalf or with proper authority.
- You are not submitting false, misleading, or fraudulent information.
- You are not attempting to impersonate another person or business.
- You consent to GoToCalls contacting you using the information provided, for the purpose for which the form exists.
GoToCalls may decline to respond to, follow up with, or otherwise engage with any form submission at our discretion, including submissions that appear automated, fraudulent, abusive, or sent in bad faith.
5. Discovery Calls and Consultation Bookings
Discovery calls, intro calls, and consultations booked through the Site are scheduled time slots offered at no cost. They are not legal, tax, accounting, financial, HR, medical, or other licensed professional advice. They are conversations to assess fit between you and GoToCalls.
If you book a call, you agree to show up at the scheduled time or reschedule with reasonable notice, provide accurate context about your business, and treat the assigned GoToCalls representative with professional respect.
GoToCalls may refuse to schedule, reschedule, or continue a discovery call where the booking appears fraudulent, abusive, or designed to extract proprietary information without a genuine intent to engage services.
A booked call does not create a binding service relationship. No services are owed until a written MSA is signed and the first payment is received.
6. Acceptable Use
You agree not to do any of the following on the Site:
- Scrape, crawl, or harvest content, contact details, pricing, or other data through automated means.
- Reverse engineer, decompile, copy, or attempt to extract the design, structure, or underlying systems of the Site.
- Republish, resell, license, or distribute Site content, including blog posts, frameworks, prompts, SOPs, templates, service descriptions, pricing, or GoToCalls Materials.
- Use the Site to develop or train any competing service, agency, AI tool, dataset, or product.
- Interfere with the Site’s operation, including by introducing viruses, attempting to overload servers, probing for vulnerabilities, or bypassing security measures.
- Impersonate another person, business, or representative of GoToCalls.
- Submit false, misleading, abusive, threatening, harassing, sexually inappropriate, discriminatory, or unlawful content.
- Harvest contact information of GoToCalls team members for solicitation, recruitment, or any commercial purpose.
- Use the Site to violate any law, regulation, third-party right, or third-party platform’s terms of service.
- Frame, mirror, or embed the Site or its content on another site without prior written permission.
GoToCalls may suspend, restrict, or permanently block your access to the Site if we reasonably determine that you have violated this Section.
7. Intellectual Property
7.1 Site Content
All content on the Site, including text, graphics, photographs, illustrations, logos, brand marks, icons, video, audio, code, page layouts, design, copy, course descriptions, frameworks, prompts, methodology descriptions, SOPs, templates, training references, and other material, collectively called “Site Content,” is owned by GoToCalls or licensed to GoToCalls and is protected by Canadian and international copyright, trademark, and intellectual property law.
7.2 GoToCalls Materials
The Site references or contains “GoToCalls Materials” as defined in the Master Service Agreement, including prompts, prompt structures, prompt libraries, SOP frameworks, playbooks, training systems, AI workflow architecture, automation logic, CRM configuration methods, sales methods, onboarding systems, internal documentation, internal methods, templates, processes, checklists, scripts, intake systems, quality assurance systems, service delivery systems, operating methods, strategy models, delegation frameworks, communication frameworks, AI implementation methods, business methods, and know-how. GoToCalls Materials are proprietary and remain the sole property of GoToCalls.
7.3 Limited License to Use the Site
GoToCalls grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and view the Site for personal, non-commercial informational purposes only. This license does not permit copying, reproducing, modifying, distributing, publishing, transmitting, displaying, selling, licensing, or creating derivative works of Site Content or GoToCalls Materials.
7.4 Trademarks
“GoToCalls,” the GoToCalls logo, and related names, logos, service names, designs, and slogans are trademarks of GoToCalls. You may not use these marks without prior written permission. Third-party trademarks referenced on the Site are the property of their respective owners.
7.5 Feedback
If you send GoToCalls feedback, suggestions, ideas, comments, or improvements regarding the Site or our services, collectively called “Feedback,” you agree that GoToCalls may use that Feedback for any purpose, in any medium, without compensation, attribution, or obligation to you.
8. User-Submitted Content
If the Site permits comments, reviews, testimonials, submissions, or other user-generated content, you grant GoToCalls a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, sublicensable, transferable license to use, reproduce, modify, adapt, publish, translate, distribute, perform, and display any content you submit, in any media now known or later developed.
You confirm that the content is your own work or you have the right to grant this license, that the content does not violate third-party rights, and that the content is not unlawful, defamatory, fraudulent, threatening, harassing, obscene, or otherwise objectionable.
GoToCalls may remove, edit, or refuse to publish any user-submitted content at our sole discretion, with or without notice.
9. Email Marketing and Communications
If you provide your email address, phone number, or other contact information through the Site, you consent to GoToCalls contacting you for legitimate business purposes, including responding to your inquiry, confirming and managing booked calls, sending requested content, and sending marketing emails about GoToCalls services where you have opted in or where applicable law permits implied consent.
Marketing emails will include an unsubscribe link. You can opt out by clicking unsubscribe, replying with the word “unsubscribe,” or emailing info@gotocalls.com.
GoToCalls complies with Canada’s Anti-Spam Legislation, the CAN-SPAM Act, and other applicable communications laws.
10. AI Tools and Automated Features
The Site may use chatbots, automated reply systems, AI-assisted search, AI-generated content suggestions, or other AI-supported features.
You acknowledge and agree that AI-generated responses are informational only and do not constitute legal, tax, accounting, financial, HR, medical, or other licensed professional advice. AI outputs may be incomplete, inaccurate, outdated, or unsuitable for a particular purpose.
Anything you submit to an AI tool on the Site should not include passwords, payment information, sensitive personal information, confidential business information, or regulated data. Submissions to AI-supported tools on the Site are not confidential. If you require a confidential discussion, request a discovery call or contact GoToCalls directly by email.
11. Third-Party Links, Tools, and Platforms
The Site may include links to third-party websites, tools, social media platforms, scheduling tools, payment processors, or other external resources. GoToCalls does not own, operate, or control these third parties. Inclusion of a link does not constitute endorsement.
GoToCalls is not responsible for the accuracy, reliability, privacy practices, data handling, goods, services, products, content, or any loss or damage arising from your use of a third-party site or service. When you leave the Site, your use of the destination site is governed by that site’s own terms and privacy policy.
12. No Professional Advice and No Guaranteed Results
The Site is provided for general informational purposes. Nothing on the Site, including blog posts, downloads, frameworks, descriptions, videos, podcasts, social content, AI-generated responses, or marketing materials, constitutes legal, tax, accounting, investment, HR, employment law, cybersecurity, data protection compliance, medical, or regulated professional advice.
GoToCalls is not engaged to provide any of those services through the Site. You should obtain qualified professional advice before acting on anything you read on the Site.
GoToCalls makes no guarantee that any business outcome described, illustrated, referenced, or implied on the Site will be achieved in your business. Business results depend on factors outside our control, including your effort, instructions, systems, market conditions, and decisions.
13. Disclaimers
To the fullest extent permitted by law, the Site and all Site Content are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied.
GoToCalls disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, availability, security, error-free operation, and uninterrupted service.
GoToCalls does not warrant that the Site will be available at any particular time or location, that defects will be corrected, that the Site is free of viruses or harmful components, or that information obtained through the Site is accurate, reliable, or current. Your use of the Site is at your sole risk.
14. Limitation of Liability
To the fullest extent permitted by applicable law, GoToCalls, its owner, team members, contractors, employees, representatives, agents, and successors shall not be liable for any indirect, incidental, punitive, exemplary, special, consequential, or similar damages arising out of or related to your use of the Site, including lost profits, lost revenue, lost opportunity, lost data, loss of goodwill, reputational harm, or business interruption, even if GoToCalls has been advised of the possibility of such damages.
To the fullest extent permitted by applicable law, GoToCalls’ total aggregate liability arising out of or related to your use of the Site, whether in contract, tort, negligence, equity, statute, or otherwise, shall not exceed one hundred Canadian dollars (CAD $100.00).
If you are a paying client of GoToCalls, the limitation of liability in the Master Service Agreement governs all claims arising from paid services. This Section applies only to claims arising from your use of the Site itself.
15. Indemnification
You agree to indemnify, defend, and hold harmless GoToCalls, its owner, team members, contractors, employees, representatives, agents, and successors from and against any claims, demands, liabilities, damages, losses, costs, expenses, penalties, fines, legal fees, and other amounts arising out of or related to your use of the Site, violation of these Terms, violation of any law or third-party right, content submitted through the Site, impersonation of another person or business, or unauthorized access to or misuse of any feature of the Site.
GoToCalls may, at our discretion, assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense and not to settle any claim without our prior written consent.
16. Privacy
Your use of the Site is also governed by the GoToCalls Privacy Policy. The Privacy Policy explains what information we collect, how we use it, who we share it with, how long we keep it, and your rights regarding personal information. By using the Site, you agree to the practices described in the Privacy Policy.
17. Suspension and Termination of Access
GoToCalls may, at our discretion and without prior notice, suspend, restrict, or permanently terminate your access to the Site if we reasonably believe you have violated these Terms, engaged in unlawful conduct, submitted false or fraudulent information, attempted to harm the Site or its users, or acted in a manner that creates legal, reputational, or operational risk to GoToCalls.
Termination of your access to the Site does not affect any rights or obligations that arose before termination, including payment obligations under a signed Master Service Agreement. Sections that by their nature should survive termination, including intellectual property, indemnification, limitation of liability, disclaimers, governing law, and dispute resolution, survive termination of your access.
18. Governing Law and Dispute Resolution
18.1 Governing Law
These Terms are governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
18.2 Mandatory Local Law Carveout
Nothing in these Terms is intended to override mandatory local laws that cannot be waived by contract, including mandatory consumer protection, privacy, or regulated-industry requirements that apply to you in your jurisdiction.
18.3 Good Faith Resolution
Before initiating any formal proceeding, you agree to first attempt to resolve any dispute by sending written notice to GoToCalls at info@gotocalls.com describing the dispute in reasonable detail. The parties shall attempt good faith resolution for thirty (30) calendar days from receipt of the notice.
18.4 Arbitration
If the dispute is not resolved within the thirty-day good faith period, and unless prohibited by mandatory law, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be resolved by final and binding arbitration in Ontario, Canada, in English, under the rules of the ADR Institute of Canada or another arbitration body mutually agreed in writing.
18.5 Injunctive Relief
Nothing in this Section prevents GoToCalls from seeking urgent injunctive relief, protection of intellectual property, protection of confidential information, or enforcement of these Terms in any court of competent jurisdiction where such action is legally available or necessary.
18.6 No Class Actions
To the fullest extent permitted by law, you agree that any dispute resolution will be conducted on an individual basis and not as part of a class action, collective action, or representative proceeding.
19. Changes to These Terms
GoToCalls may update these Terms at any time. When we do, we will update the “Last Updated” date at the top. Material changes will be posted on the Site at least fourteen (14) calendar days before they take effect, where practical.
Your continued use of the Site after the effective date of an update constitutes your acceptance of the updated Terms. If you do not agree to an update, you must stop using the Site.
20. General Provisions
20.1 Entire Agreement
These Terms, together with the Privacy Policy and, where applicable, the Master Service Agreement, constitute the entire agreement between you and GoToCalls regarding your use of the Site. They replace and supersede any prior agreements, representations, or understandings regarding the Site.
20.2 Severability
If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions remain in full force. The invalid provision shall be interpreted, modified, or limited to reflect the original intent as closely as legally possible while preserving enforceability.
20.3 No Waiver
Our failure or delay in enforcing any right or provision of these Terms does not constitute a waiver. Any waiver must be in writing and signed by GoToCalls.
20.4 Assignment
You may not assign, transfer, or sublicense these Terms or any rights or obligations under them without our prior written consent. GoToCalls may assign these Terms freely, including in connection with a sale, merger, restructuring, or acquisition.
20.5 No Agency
Nothing in these Terms creates a partnership, joint venture, franchise, employment, or agency relationship between you and GoToCalls. You may not represent yourself as a partner, employee, agent, or representative of GoToCalls without prior written consent.
20.6 Headings
Section headings are for convenience only and do not affect interpretation.
20.7 Electronic Communications
When you use the Site or send communications electronically, you consent to receive communications from GoToCalls electronically. Electronic notices, agreements, and disclosures satisfy any legal requirement that such communications be in writing.
